ITEM 8.01. OTHER EVENTS.

On August 8, 2019, Graphic Packaging Holding Company (the “Company”) issued a press release regarding its Board of Directors' approval of an investment in a new coated recycled board machine. A copy of the press release is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
